Terms of Service

Effective Date: July 7, 2026

These Terms of Service ("Terms") govern access to and use of IPMTrace, a software-as-a-service platform for pest control and integrated pest management (IPM) field service operations (the "Service"), provided by FonePaw Technology Limited ("IPMTrace," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms.

This is a template for informational purposes. Consult with a qualified attorney for legal advice specific to your situation.

1. Eligibility and Accounts

The Service is intended for business use by pest control and IPM organizations and their authorized personnel. To use the Service, you must:

  • Be at least 18 years old and have authority to act on behalf of your organization.
  • Register using accurate information, either via email/password or Google OAuth.
  • Keep your login credentials confidential and notify us promptly at support@ipmtrace.com of any unauthorized access or security incident.

You are responsible for all activity occurring under your account.

2. Office and Technician Roles

The Service supports two primary user types:

  • Office Users: create and manage work orders, dispatch jobs to field technicians, review and confirm AI-extracted treatment data, and generate exports.
  • Field Technicians: use the mobile application to receive assigned jobs and capture field notes, photographs, and voice recordings at customer sites.

Each customer organization is responsible for assigning appropriate roles and permissions to its personnel and for ensuring that technicians and office users are authorized to submit and review data on the organization's behalf.

3. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable pesticide, chemical handling, labor, or data protection law.
  • Upload content that is fraudulent, misleading, or that misrepresents treatments actually performed.
  • Attempt to reverse-engineer, decompile, or gain unauthorized access to the Service or its underlying systems.
  • Interfere with or disrupt the integrity or performance of the Service, including through excessive automated requests.
  • Share account credentials across multiple individuals, or use the Service to store or transmit content you do not have the right to submit.
  • Use the Service to process data on behalf of any third party without appropriate authorization.

We reserve the right to suspend or terminate accounts that violate this section.

4. AI-Assisted Data Extraction

The Service uses AI (Google Gemini) to extract structured treatment information from field notes, photos, and voice recordings. You acknowledge and agree that:

  • AI-generated extractions are provided as a starting point and may contain errors or omissions.
  • A qualified human reviewer within your organization is responsible for reviewing and confirming sensitive fields (including chemical/product identity, amount, and application location) before any record is finalized or exported.
  • IPMTrace is not responsible for decisions made based on unreviewed or improperly reviewed AI-extracted data. Your organization retains full responsibility for the accuracy of any finalized treatment record, and for compliance with applicable pesticide application, recordkeeping, and reporting laws.

5. Customer Data Ownership

As between you and IPMTrace, your organization retains all ownership rights to the work order data, field notes, photographs, voice recordings, and treatment records ("Customer Data") submitted through the Service. We do not claim ownership of Customer Data. You grant IPMTrace a limited, non-exclusive license to host, process, transmit, and display Customer Data solely as necessary to provide, maintain, and improve the Service (including AI-assisted extraction and export generation).

You are responsible for ensuring that you have the necessary rights and consents to submit Customer Data, including any personal information of employees, site occupants, or third parties captured in photos, notes, or recordings.

6. Exports and Records

Confirmed treatment records may be exported by authorized users in PDF, CSV, or JSON format. You are solely responsible for the retention, distribution, and regulatory use of exported records, including compliance with any applicable pesticide application recordkeeping requirements in your jurisdiction.

7. Service Availability; "As Is" Disclaimer

We strive to maintain reliable access to the Service but do not guarantee uninterrupted or error-free operation. The Service may be temporarily unavailable due to maintenance, updates, or factors outside our control (including outages of third-party providers such as our hosting, database, storage, AI, or email providers).

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY OF AI-GENERATED CONTENT. WE DO NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS OR BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL FonePaw Technology Limited OR ITS OFFICERS, EMPLOYEES, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO IPMTRACE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Nothing in these Terms limits liability that cannot be limited under applicable law.

9. Indemnification

You agree to indemnify and hold harmless FonePaw Technology Limited from any claims, damages, or expenses (including reasonable attorneys' fees) arising from your violation of these Terms, misuse of the Service, or Customer Data submitted through your account, including claims related to inaccurate or unreviewed treatment records.

10. Termination

We may suspend or terminate your access to the Service if you violate these Terms, pose a security risk, or upon non-payment of applicable fees, with notice where reasonably practicable. You may terminate your account at any time by contacting support@ipmtrace.com. Upon termination, your right to use the Service ends immediately; certain provisions (including data ownership, limitation of liability, and governing law) survive termination. We will make reasonable efforts to allow export of Customer Data prior to deletion, consistent with our data retention practices.

11. Changes to These Terms

We may update these Terms from time to time. We will post the revised Terms with an updated effective date and, for material changes, provide notice via email or in-app notification. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

12. Governing Law and Disputes

These Terms are governed by the laws of Hong Kong SAR, without regard to conflict-of-law principles. Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts located in Hong Kong SAR, unless otherwise required by applicable law.

13. Miscellaneous

These Terms, together with our Privacy Policy and any applicable Data Processing Addendum, constitute the entire agreement between you and IPMTrace regarding the Service. If any provision is found unenforceable, the remaining provisions remain in full effect. Our failure to enforce any provision shall not constitute a waiver.
